By engaging with HomeAuraLiving for sourcing, product enquiries, quotations, samples, manufacturing coordination, quality inspection, production monitoring, supply-chain coordination, shipment coordination or related business activities, buyers and suppliers shall be bound by and agree to comply with these Terms & Conditions.
1. Sourcing & Coordination
HomeAuraLiving shall act as a sourcing and supply-chain coordination partner between international buyers and Indian manufacturers/export partners.
HomeAuraLiving may coordinate requirement understanding, product development, quotations, samples, quality assurance and inspection, production monitoring, supply-chain activities, shipment coordination and after-sales support.
The specific scope of HomeAuraLiving's services shall be determined according to the requirements and commercial arrangements applicable to each transaction.
2. Buyer Requirements
All buyer requirements, product specifications, quantities, packaging details, quality standards, delivery timelines and other commercial information provided to HomeAuraLiving shall be treated as confidential business information.
A buyer enquiry or quotation shall not constitute a confirmed order or binding commercial contract unless the applicable commercial terms have been agreed and confirmed in writing by the relevant parties.
3. Quotations & Product Information
All quotations, prices, product specifications, samples, availability and delivery timelines shall be subject to confirmation for the relevant enquiry or order.
Final pricing and commercial terms shall be determined according to factors including quantity, specifications, packaging, raw-material costs, inspection requirements, freight, taxes, currency fluctuations and other applicable costs.
No quotation shall be treated as final or binding unless expressly confirmed in writing.
4. Samples & Product Approval
Where samples are required, HomeAuraLiving shall coordinate the development and submission of samples according to the buyer's requirements.
Where applicable, bulk production shall be carried out according to the specifications and/or sample approved by the buyer.
Any modification requested after approval may result in changes to the agreed price, production timeline or other commercial terms.
5. Quality Assurance & Inspection
Where agreed, HomeAuraLiving shall coordinate quality checks, inspections and production follow-up according to the buyer's specified requirements.
Such coordination shall be intended to verify compliance with agreed specifications but shall not constitute an unconditional guarantee against every manufacturing, transportation or other defect.
The applicable order specifications, approved samples and agreed inspection requirements shall govern the quality standards for each transaction.
6. Non-Circumvention & Buyer Protection
Any buyer, buyer enquiry, requirement, quotation, product specification, contact information or business opportunity introduced, developed or facilitated by HomeAuraLiving shall constitute a Protected Business Opportunity.
A supplier or export partner receiving a Protected Business Opportunity through HomeAuraLiving shall not, without HomeAuraLiving's prior written consent:
- Directly or indirectly approach the buyer independently regarding the protected enquiry or related business.
- Negotiate or conclude a commercial transaction with the buyer outside HomeAuraLiving's coordination.
- Provide direct quotations, offers or commercial proposals to the buyer relating to the protected enquiry.
- Accept orders directly from the buyer arising from a HomeAuraLiving enquiry.
- Use buyer contact details, requirements or other business information obtained through HomeAuraLiving to establish an independent commercial relationship.
- Circumvent, bypass or exclude HomeAuraLiving from any transaction arising from an opportunity introduced or facilitated by HomeAuraLiving.
7. Protection Period
The non-circumvention obligations set out in these Terms & Conditions shall remain binding for 24 months from the date of the buyer introduction or the last business communication relating to the Protected Business Opportunity, unless a different period is agreed in writing.
These obligations shall apply to direct and indirect attempts to bypass HomeAuraLiving, including transactions conducted through related companies, representatives, employees, agents or other intermediaries.
8. Breach of Non-Circumvention
Any unauthorized attempt to bypass HomeAuraLiving, directly approach a Protected Buyer, misuse buyer information or conclude a transaction outside the agreed coordination process shall constitute a material breach of these Terms & Conditions.
In the event of such breach, HomeAuraLiving shall be entitled, subject to applicable law, to suspend or terminate the supplier relationship and pursue available legal remedies, including recovery of commercially recoverable losses, damages, costs and other relief available under applicable law.
HomeAuraLiving may also require a supplier to execute a separate Non-Circumvention, Non-Disclosure or Supplier Agreement containing additional obligations before sharing protected business information.
9. Existing Business Relationships
The non-circumvention obligations shall apply to buyers and business opportunities introduced or facilitated by HomeAuraLiving.
These obligations shall not restrict a supplier from continuing a genuine business relationship with a buyer that the supplier can demonstrate existed independently before HomeAuraLiving's introduction, provided that the transaction is unrelated to the Protected Business Opportunity.
10. Production & Delivery
Production and delivery timelines shall be based on the requirements and commitments agreed for the relevant transaction.
The parties shall promptly communicate any circumstances that may affect production or delivery.
Delays caused by production issues, raw-material availability, quality inspections, documentation, customs, transportation, port congestion, government restrictions or other circumstances beyond reasonable control shall be handled according to the applicable commercial agreement.
11. Confidentiality
Buyers and suppliers shall keep confidential all non-public business information received through HomeAuraLiving, including buyer and supplier details, product requirements, specifications, pricing, quotations, designs, samples, documents and other commercial information.
Such information shall not be disclosed, copied, transferred or used for any purpose unrelated to the relevant business opportunity without prior authorization from the party entitled to such information.
12. Professional Conduct & Business Relationship
All buyers and suppliers engaging with HomeAuraLiving shall communicate honestly, professionally and in good faith.
Each party shall comply with the commercial commitments agreed for the relevant transaction and shall promptly communicate any circumstance that may materially affect its ability to fulfil those commitments.>br>
